U.S. SUGAR SHAREHOLDER LAWSUIT SETTLEMENT APPROVED

Clewiston, FL — January 4, 2010 — In U.S. District Court, Southern Division, a federal judge today approved the proposed settlement of the U.S. Sugar Corporation class action shareholder lawsuit.

Terms of the settlement:

• U.S Sugar pays $8.4 million settlement
• After plaintiffs’ attorney’s fees and expenses, approximately $5.5 million available to distribute to shareholders and ESOP participants
• This equates to approximately $2.70 per share
• Average ESOP participant (current & former) has 175 shares
• Average payment per ESOP participant is $480

Each individual’s share of the settlement will depend upon his/her number of shares and the ultimate distribution to be calculated by the claims administrator. The settlement payments will be shared by the classes of shareholders and ESOP participants.

Payments will be made directly to shareholders and for ESOP participants, payment will be deposited into a separate ESOP retirement cash account.
